Terms of business

What you can expect from us, and what we'll need from you. Your written quote can add to these; if it ever differs, the quote wins.

1. Who we are

Up2Digital is a UK company, registered in England and Wales. "You" means the person or business that accepts our quote.

2. Prices and quotes

  • Prices on our website are guide prices to help you plan. They aren't an offer.
  • Before any work starts you get a fixed written quote setting out what we'll do, what it costs and roughly how long it takes. It's valid for 30 days.
  • We're not currently VAT registered, so no VAT is added. If that changes, we'll tell you before it affects any invoice.
  • A quote may include optional extras. Only the ones you choose are part of the agreement.

3. Accepting a quote

You accept a quote by typing your name and confirming in your client portal (or by telling us in writing). That forms our agreement, made up of the quote and these terms.

4. Deposits and payment

  • A deposit of 50% of the one-off price is due when you accept, and work is scheduled once it's paid. The balance is due when the work is delivered.
  • Invoices are due within 14 days unless the invoice says otherwise. You can pay by bank transfer, or by card where offered.
  • Monthly services are invoiced monthly in advance from their start date (usually handover).
  • If a business invoice is paid late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. We'd much rather talk first, so please tell us if there's a problem.

5. Changes to the work

Ideas change, and that's fine. If you'd like something added or done differently, we'll confirm any effect on price or timing in writing before doing it. The price only changes if the scope changes.

6. What we'll need from you

  • Information, content and access to your tools when we ask for them (we'll use the forms in your portal, never ask for passwords in messages).
  • Feedback and approvals within a reasonable time. If things wait on us, dates hold; if they wait on you, dates may move to match.
  • Confirmation that you have the right to use anything you give us (text, photos, logos, data).

7. Reviews and sign-off

We share work for review in your portal. You can approve it or ask for changes, and we'll make reasonable changes within the agreed scope. Once you approve something, further changes to it are new work, quoted separately.

8. Who owns what

Once everything is paid, you own what we make for you: designs, content, code and data, plus the accounts and domains we set up in your name. Third-party software, themes and open-source components stay under their own licences. We keep the general know-how we bring to every project and may reuse it.

9. Other people's services

Many projects use tools such as website hosting, email, booking or accounting software. These are set up in your name where possible and you pay their providers directly. We're not responsible for their outages, changes or prices, though we'll always help you deal with them.

10. After delivery

If something we built doesn't work as agreed, tell us within 30 days of delivery and we'll fix it at no cost. Ongoing help, updates and changes after that are available on a monthly plan or quoted as needed.

11. Monthly services

Monthly services run month to month. Either of us can end them with 30 days' notice in writing.

12. Tech Health Check

The Tech Health Check is a fixed price (£249), paid up front. If you book a project with us within 30 days of receiving your plan, we credit the full fee against it.

13. Ending the agreement

You can stop a project at any time by telling us in writing. You pay for the work done up to that point (the deposit covers work already started), and we hand over everything completed so far. If you're buying as a consumer rather than a business, you also have the right to cancel within 14 days of accepting; if you ask us to start within that time, you'll pay for work already done.

14. Liability

We take care and stand behind our work. Our total liability under any agreement is limited to the amount you've paid us under it in the 12 months before the claim, and we're not liable for indirect losses such as lost profits or business interruption. Nothing in these terms limits liability that can't be limited by law, such as for death or personal injury caused by negligence, or for fraud.

15. Confidentiality and data

We keep your business information confidential. Where we handle personal data on your behalf (for example your customers' details), we act as your processor under UK GDPR, only on your instructions and securely. Our privacy notice explains how we handle information about you.

16. Problems and complaints

If anything isn't right, tell us in your portal or through our contact form and we'll respond within two working days and do our best to put it right quickly.

17. The law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
